ADVERTISING AGREEMENT
This Advertising Agreement ("Agreement") is made and entered into as of April 16, 2025, by and between loat-view.fan, a company with its principal office located at 2290 Market Street, San Francisco, CA 94114, USA, phone number +1 (628) 555-0148, email ernestdavidson2025@outlook.com ("Advertiser"), and MediaReach Ltd., with offices located at 102 King’s Cross Rd, London WC1X 9DS, United Kingdom ("Publisher").
1. PurposeThis Agreement outlines the terms under which Publisher will display and promote advertisements on its network of websites, newsletters, and social platforms for the benefit of Advertiser.
2. Advertising MaterialsAdvertiser agrees to provide all promotional materials including banners, product images, and ad copy no later than April 20, 2025. Publisher reserves the right to reject materials that violate content guidelines or policies.
3. TermThe advertising campaign will run from May 1, 2025 to July 31, 2025, totaling a duration of 3 months, unless extended or terminated per the terms herein.
4. PaymentAdvertiser agrees to pay Publisher a total sum of $3,000 USD, broken down as follows:

• $1,000 due upon signing
• $1,000 due on June 1, 2025
• $1,000 due on July 1, 2025

Payment is to be made via wire transfer to Publisher’s nominated bank account.
5. Placement and PerformancePublisher agrees to:

• Display banner ads on homepage and article pages of [Publisher’s site]
• Include Advertiser’s content in 3 newsletter issues
• Post 2 sponsored social media promotions per month

Publisher does not guarantee clicks or sales but will provide performance reports every 30 days.
6. Intellectual PropertyAdvertiser retains all rights to their content and branding. Publisher is granted a temporary license to use such materials solely for the campaign duration.
7. ConfidentialityAll business, technical, and financial information exchanged between the parties shall be kept confidential unless agreed otherwise in writing.
8. TerminationThis Agreement may be terminated by either party with 15 days' written notice. If terminated early, Publisher will invoice Advertiser only for services rendered up to the date of termination.
9. Governing LawThis Agreement is governed by and construed in accordance with the laws of the State of California, USA.
